1. Acceptance of Terms

By accessing or using GroupSVP ("Service," "we," "us," or "our") at groupsvp.com, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including organization administrators ("Organizers") who create and manage events, and individuals who respond to event invitations via SMS ("Members").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

GroupSVP is an AI-powered event RSVP management platform that enables organizations to:

• Create and manage events through our web-based dashboard
• Collect RSVPs from members via SMS text messaging
• Track attendance and member responses
• Communicate event details to members

The Service uses artificial intelligence to process and interpret text message responses, facilitating seamless event management for organizations of all sizes.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old and capable of forming a binding contract to create an account. By registering, you represent that you meet these requirements.

3.3 One Account Per Organization

Each organization should maintain a single account. Sharing account credentials among multiple organizations is prohibited.

4. Subscription and Payments

4.1 Subscription Plans

GroupSVP offers subscription-based pricing. Details of available plans, features, and pricing are available on our website. All fees are quoted in U.S. dollars unless otherwise specified.

4.2 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree to Stripe's terms of service and authorize us to charge your designated payment method for all applicable fees.

4.3 Billing Cycle

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not receive a refund for any unused portion of the billing period
• Your access to paid features will terminate at the end of the billing period

4.5 Refunds

All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms. If you believe you have been charged in error, please contact us at support@groupsvp.com within 30 days of the charge.

4.6 Price Changes

We reserve the right to change our pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide you with reasonable advance notice of any price increases.

5. Acceptable Use Policy

You agree not to use the Service to:

5.1 Prohibited Content

• Send spam, unsolicited messages, or unauthorized commercial communications
• Distribute malware, viruses, or other harmful code
• Share content that is illegal, defamatory, obscene, or infringes on others' rights
• Impersonate any person or entity or misrepresent your affiliation

5.2 Prohibited Conduct

• Violate any applicable laws or regulations, including telemarketing and consumer protection laws
• Harvest or collect information about others without consent
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any part of the Service
• Use automated systems to access the Service without permission

5.3 SMS-Specific Prohibitions

• Send messages to individuals who have not consented to receive them
• Send messages for purposes other than legitimate event RSVP management
• Use the Service to send marketing or promotional messages unrelated to event coordination
• Exceed reasonable message volume limits or abuse SMS functionality
• Send messages to numbers that have opted out of communications

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

6. SMS/Text Messaging Terms

6.1 Consent

By using GroupSVP's SMS features, Organizers represent and warrant that they have obtained proper consent from all Members before adding them to the Service. Organizers are solely responsible for ensuring compliance with all applicable laws regarding text message communications, including but not limited to:

• The Telephone Consumer Protection Act (TCPA)
• The CAN-SPAM Act
• State-specific telemarketing laws
• Carrier messaging policies

6.2 Message Frequency and Content

• Members may receive SMS messages related to events they are associated with
• Message frequency varies based on event activity
• Standard message and data rates may apply based on the Member's carrier plan
• Members can opt out of messages at any time by replying "STOP"

6.3 Carrier Limitations

SMS delivery is subject to carrier network availability and policies. We do not guarantee delivery of any message and are not liable for messages that are delayed, undelivered, or blocked by carriers.

6.4 Organizer Responsibility

Organizers are responsible for:

• Maintaining accurate and up-to-date member contact information
• Honoring opt-out requests promptly
• Using SMS features only for legitimate event management purposes
• Complying with all applicable messaging laws and regulations

6.5 Indemnification for SMS Misuse

You agree to indemnify and hold GroupSVP harmless from any claims, damages, or expenses arising from your misuse of SMS features or failure to obtain proper consent.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding (excluding User Content), is owned by GroupSVP and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a royalty-free, worldwide, perpetual license to use, modify, and incorporate such feedback without any obligation to you.

8. User Content

8.1 Your Content

You retain ownership of any content you submit, post, or transmit through the Service ("User Content"), including event details, member information, and messages.

8.2 License to Us

By submitting User Content, you grant GroupSVP a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

8.3 Your Responsibilities

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third party's rights
• Your User Content complies with these Terms and all applicable laws

9. Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Service
• Warranties that defects will be corrected

We do not guarantee that SMS messages will be delivered or that the AI-powered features will interpret responses with complete accuracy. Your use of the Service is at your sole risk.

10. Limitation of Liability

This includes, but is not limited to:

• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your use or inability to use the Service
• Any damages arising from unauthorized access to or alteration of your data
• Any damages arising from SMS delivery failures or delays
• Any damages arising from AI interpretation errors

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription and contacting us at support@groupsvp.com to request account deletion.

11.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You breach any provision of these Terms
• You fail to pay any fees when due
• We are required to do so by law
• We discontinue the Service

11.3 Effect of Termination

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and User Content after a reasonable retention period
• Provisions that should survive termination will survive (including Sections 7, 9, 10, and 12)

11.4 Data Export

Upon request made prior to termination, we will provide you with a reasonable opportunity to export your data in a standard format.

12. Governing Law

12.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue.

12.3 Dispute Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at support@groupsvp.com. We will attempt to resolve the dispute within 30 days of receiving your notice.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of these Terms
• We will notify you by email or through the Service at least 30 days before the changes take effect
• Your continued use of the Service after the effective date constitutes acceptance of the revised Terms

If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.

14. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and GroupSVP regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• No Agency: Nothing in these Terms creates any agency, partnership, or joint venture between you and GroupSVP.
